TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of BrandedBikers services, including our website, rider program, and campaign platform. By using our services, you agree to these Terms. If you do not agree, do not use our services.
1. Definitions
- "BrandedBikers," "we," "us," "our" — BrandedBikers and its operators.
- "Client" — a brand or company that commissions a marketing campaign through BrandedBikers.
- "Rider" — an individual who participates in a BrandedBikers campaign as a brand ambassador.
- "Campaign" — a defined marketing engagement in which riders wear and represent a client's branded gear over a specified period.
- "Submission" — mileage records, route documentation, and photographs provided by a rider as campaign deliverables.
2. Eligibility
You must be at least 18 years old to use our services. By using our services, you represent that you meet this requirement and have the authority to agree to these Terms.
3. Campaign Clients
Campaign agreements
Clients who engage BrandedBikers for a campaign will enter into a separate Campaign Agreement that specifies deliverables, pricing, timeline, and payment terms. These Terms apply in addition to that agreement.
Payment
Campaign fees are due per the schedule outlined in your Campaign Agreement. Late payments may result in campaign suspension. All fees are non-refundable except as explicitly stated in your Campaign Agreement.
Use of deliverables
Photos and rider-generated content provided in campaign reports are licensed to the client for marketing use in connection with the campaign. Clients may not use rider likenesses in ways that imply endorsement beyond the scope of the campaign without separate written consent from BrandedBikers and the rider.
No guarantee of specific results
BrandedBikers guarantees verified deliverables (documented rides, miles, and photos). We do not guarantee specific sales outcomes, impressions, or business results from a campaign.
4. Riders
Program participation
Riders participate in campaigns subject to the BrandedBikers Rider Program Handbook, which is incorporated into these Terms. By joining a campaign, you agree to the Handbook's rules and submission requirements.
Honesty and accuracy
Riders must provide accurate mileage, route, and photo submissions. Fabricating, falsifying, or misrepresenting any submission is grounds for immediate removal from the network and forfeiture of compensation. BrandedBikers reserves the right to pursue legal remedies if a client is materially damaged by fraudulent submissions.
Conduct
Riders are expected to conduct themselves in accordance with the campaign's brand standards at all times while wearing or publicly representing branded gear. Conduct that brings the client's brand into disrepute may result in removal from the campaign and forfeiture of compensation.
Intellectual property
By submitting photos and content to BrandedBikers, riders grant BrandedBikers and the applicable campaign client a non-exclusive, royalty-free license to use submitted content for campaign reporting and marketing purposes. Riders retain ownership of their original content.
Compensation
Rider compensation is specified in individual campaign agreements. BrandedBikers is not responsible for compensation disputes arising from late, incomplete, or unverifiable submissions.
5. Prohibited Conduct
You agree not to:
- Submit false, fabricated, or misleading mileage, route, or photo data
- Impersonate any person or entity
- Use our services for any unlawful purpose
- Interfere with or disrupt our website or services
- Attempt to gain unauthorized access to any part of our systems
- Engage in conduct that damages the reputation of BrandedBikers or any campaign client
6. Intellectual Property
All content on this website — including text, graphics, logos, and design — is owned by or licensed to BrandedBikers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
7. Disclaimers
Our services are provided "as is" without warranties of any kind, express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses. BrandedBikers disclaims all warranties to the fullest extent permitted by law.
8. Limitation of Liability
To the fullest extent permitted by law, BrandedBikers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount you paid us in the three months preceding the claim.
9. Indemnification
You agree to indemnify and hold BrandedBikers harmless from any claims, damages, losses, or costs (including attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.
10. Termination
We may suspend or terminate your access to our services at any time for violation of these Terms or for any other reason at our discretion. Riders who violate the Rider Handbook are subject to immediate removal and forfeiture of outstanding compensation.
11. Governing Law
These Terms are governed by the laws of the United States and the state in which BrandedBikers operates, without regard to conflict of law principles. Any disputes shall be resolved in the appropriate courts of that jurisdiction.
12. Changes to These Terms
We may update these Terms at any time. Updated Terms will be posted with a revised "Last updated" date. Continued use of our services after updates constitutes acceptance of the revised Terms.
